    1. Introduction, Agreement and Company Information

    These Terms of Service (“Terms”) form a binding agreement between you, the individual or legal entity that purchases, accesses, or uses a service (“Customer”, “you”, or “your”), and APN CLOUD LTD (“APNCloud”, “we”, “us”, or “our”). APN CLOUD LTD is a company registered in England and Wales under company number 17284647, with its registered office at 82A James Carter Road, Mildenhall, England, IP28 7DE, United Kingdom. APNCloud operates the APNCloud brand and provides hosting, server, domain, email, software, and related digital services through its websites, client area, order forms, invoices, quotations, and approved sales channels.

    By creating an account, submitting an order, paying an invoice, renewing a service, accepting these Terms during checkout, or continuing to use a Service after these Terms become applicable, you agree to be bound by these Terms and the policies incorporated into them by reference. Those policies may include the Privacy Policy, Acceptable Use Policy, Refund Policy, Billing and Renewal Policy, Service Level Agreement, Domain Registration Policy, Cookie Policy, and Abuse Policy. If you are accepting these Terms for a company or other organization, you confirm that you have authority to bind that organization.

    These Terms are intended to describe the commercial and operational rules that apply to APNCloud Services. Nothing in these Terms excludes or limits any right that cannot legally be excluded or limited under applicable law. Where mandatory consumer law gives an eligible consumer additional rights, those rights continue to apply. Customers should read these Terms before ordering and keep a copy for their records.

    2. Definitions and Interpretation

    In these Terms, “Account” means the APNCloud client account used to order, manage, or receive Services. “Service” or “Services” means any hosting, VPS, managed VPS, dedicated server, reseller hosting, domain, email, SSL, software licence, backup, migration, server management, or other digital service offered by APNCloud. “Order” means a request to purchase or renew a Service. “Initial Term” means the first paid billing period for a Service. “Renewal Term” means any subsequent billing period. “Third-Party Provider” means a registrar, registry, data centre, network carrier, software vendor, payment provider, certificate authority, cloud provider, or other supplier used in delivering a Service.

    “Customer Content” means data, websites, code, databases, email, files, applications, domain names, or other material uploaded, stored, transmitted, published, or managed by or for the Customer. “Unmanaged Service” means a Service where the Customer is primarily responsible for operating-system administration, application administration, security configuration, updates, backups, and other software-level tasks. “Managed Service” means a Service for which APNCloud expressly lists specific management functions as included. “Fair Usage” means reasonable use consistent with the product description, technical capacity, and normal purpose of the Service.

    Headings are for convenience and do not change the meaning of the Terms. Words such as “including” and “for example” are illustrative and do not limit the preceding words. References to a policy include later versions of that policy where the change is made in accordance with these Terms. If a Service-specific term conflicts with a general provision, the more specific term applies to that Service to the extent of the conflict, subject to mandatory law.

    3. Eligibility and Authority

    You must have legal capacity to enter into a binding contract in the jurisdiction applicable to you. If you are ordering on behalf of a business, school, charity, partnership, company, or other organization, you must have authority to bind that organization and to use its payment method. You must not create an account using false identity information, impersonate another person or business, or use a payment method that you are not authorized to use.

    APNCloud may refuse, suspend, or cancel an Order where there is a reasonable concern about fraud, unauthorized payment, sanctions, legal restrictions, abusive activity, material misrepresentation, or inability to provide the requested Service. We may ask for reasonable verification before or after payment, particularly for higher-risk orders, unusual payment patterns, dedicated servers, additional IP addresses, or Services commonly targeted for abuse.

    Verification may include confirming contact details, business details, payment ownership, intended use, domain ownership, or other information reasonably required for fraud prevention and compliance. Information collected for verification will be handled in accordance with our Privacy Policy. A request for verification does not mean that APNCloud guarantees the identity, creditworthiness, or conduct of any Customer.

    4. Scope of Services

    APNCloud may offer Shared Hosting, Reseller Hosting, Cloud VPS Hosting, Managed Cloud VPS Hosting, Dedicated Servers, domain registration and transfer, SSL certificates, business email, software licences, migration services, backup services, server management, security-related services, and other products introduced from time to time. The exact features, locations, operating systems, control panels, storage, bandwidth, IP allocations, support scope, billing cycles, and other specifications are those stated on the applicable product page, Order, quotation, or invoice.

    A Service may depend on third-party infrastructure or software. APNCloud may use owned, leased, colocated, licensed, or third-party infrastructure to deliver Services. The involvement of a Third-Party Provider does not by itself remove APNCloud’s obligations under these Terms, but some events, delays, maintenance, software changes, registry rules, or network incidents may be outside APNCloud’s direct control.

    We may add, modify, replace, or discontinue a Service or feature for technical, security, legal, supplier, compatibility, capacity, or business reasons. If a material change adversely affects an existing paid Service, we will act reasonably and, where required, provide notice or an appropriate remedy. Promotional wording such as “premium”, “high performance”, “optimized”, “unmetered”, “managed”, or “up to” must be read together with the specific plan description and these Terms.

    5. Product Descriptions and Pricing Information

    We aim to describe Services accurately, but occasional typographical, pricing, synchronization, supplier, or configuration errors may occur. A general marketing page does not override a specific Order or invoice that clearly states the purchased configuration. If there is an obvious error before provisioning, APNCloud may correct it and offer the Customer the choice to proceed at the correct price or configuration or to cancel the affected Order and receive any applicable refund.

    Prices may be shown in United States dollars, British pounds, Bangladeshi taka, or other supported currencies. The currency displayed at checkout or on the invoice is the currency charged unless the payment provider performs a separate conversion. Exchange rates, foreign transaction fees, card issuer fees, bank fees, wallet fees, and payment-provider conversion spreads are not controlled by APNCloud unless expressly stated.

    APNCloud may change prices for future Orders and future Renewal Terms. Unless a Service is expressly sold with a fixed-price commitment, renewal pricing may change with notice where reasonably practicable. Taxes, VAT, sales tax, withholding, registry charges, payment taxes, and similar amounts may be added or included depending on the transaction, location, payment channel, and legal requirements.

    6. Orders, Acceptance and Contract Formation

    An Order is a request to purchase a Service and is not necessarily accepted at the moment it is submitted. APNCloud may review an Order for payment confirmation, fraud risk, service availability, technical feasibility, compliance, or required verification. The contract for a Service is normally formed when APNCloud accepts the Order and provisions, activates, or otherwise confirms the Service, subject to the payment channel used.

    You are responsible for reviewing the Service name, billing cycle, quantity, domain, server location, operating system, configuration, and price before completing the Order. If an Order contains incorrect information, contact support as soon as possible. Changes after provisioning may be impossible, may require migration or reinstallation, or may incur additional fees.

    APNCloud may decline an Order if the Service is unavailable, the requested use is prohibited, payment cannot be verified, information is materially false, there is a serious risk of fraud or abuse, or a Third-Party Provider refuses the transaction. If we cancel a paid Order before providing the Service and no fraud, chargeback, abuse, or other exclusion applies, we will handle the payment in accordance with the Refund Policy and applicable law.

    7. Account Registration and Security

    Customers may need an APNCloud Account to order and manage Services. You must provide accurate contact information and keep it current. The primary email address on the Account may be used for invoices, renewal reminders, security alerts, abuse notices, service notices, and other important communications. Failure to receive a message because an address is outdated or an inbox is not monitored does not automatically remove obligations that were otherwise validly incurred.

    You are responsible for protecting passwords, login links, API credentials, access tokens, SSH keys, control-panel credentials, and other authentication information under your control. Use strong unique passwords and any available multi-factor authentication. Do not knowingly share your primary APNCloud credentials with unauthorized persons. Where staff or contractors require access, use appropriate delegated access where available.

    If you suspect unauthorized access, notify APNCloud promptly and change affected credentials. We may temporarily restrict access where reasonably necessary to protect the Customer, payment information, infrastructure, or other users. We may also require ownership verification before changing sensitive account details, releasing data, or transferring control of a Service.

    8. Customer Information and Verification

    Customers must maintain accurate name, address, email, telephone, business, billing, and domain contact information where applicable. APNCloud may request additional information when reasonably necessary to prevent fraud, comply with law, protect payment channels, validate a high-risk transaction, investigate abuse, or confirm control of a Service.

    Depending on the circumstances, verification may involve proof of identity, proof of address, company registration information, payment ownership confirmation, domain control, intended-use information, or other reasonable evidence. APNCloud will not request more information than reasonably needed for the purpose and will handle personal information under the Privacy Policy.

    If required verification is not completed, an Order may remain pending, a Service may be restricted, or the Order may be cancelled. If a Customer submits altered, forged, misleading, or stolen documents or knowingly provides false information, APNCloud may terminate the relationship and may preserve relevant records where legally permitted for fraud prevention, payment disputes, or legal compliance.

    9. Provisioning and Activation

    Some Services may be activated automatically after successful payment and required verification. Others may require manual review, data-centre provisioning, IP allocation, hardware preparation, licence issuance, domain registry processing, operating-system installation, migration work, or supplier confirmation. Any activation time shown on the website is an estimate unless expressly described as a guarantee.

    Provisioning may be delayed by payment review, missing information, supplier delays, registry processing, stock or capacity limits, network issues, maintenance, security concerns, or technical errors. APNCloud will use reasonable efforts to activate Services promptly but is not responsible for delays caused mainly by circumstances outside its reasonable control.

    The Customer must review welcome emails and service details after activation. If the delivered configuration materially differs from the accepted Order, the Customer should report the issue promptly. Failure to report a minor discrepancy does not waive mandatory rights, but early notice helps us correct provisioning issues efficiently.

    10. Payment Authorization and Accepted Payment Methods

    By submitting payment, you confirm that you are authorized to use the selected payment method and authorize APNCloud or the applicable authorized payment provider to process the amount shown for the Order. Where automatic renewal is enabled, you also authorize future renewal charges in accordance with the selected billing cycle until the Service is cancelled, automatic renewal is disabled where supported, or the authorization otherwise ends.

    APNCloud may make payment methods such as payment cards, PayPal, Skrill, Wise-related bank or business payment methods, Paddle, bank transfer, or other gateways available from time to time. Availability may vary by country, currency, risk assessment, product type, transaction value, provider rules, and account status. Showing a payment logo or gateway option does not mean APNCloud is affiliated with, sponsored by, or endorsed by that provider beyond the actual commercial or technical relationship.

    Payments may be accepted directly by APNCloud, by a payment processor acting for APNCloud, or through a merchant-of-record or reseller model where clearly disclosed. The legal role of the payment provider may therefore differ by payment method. A payment provider may apply its own terms, privacy notice, fraud checks, currency conversion, and dispute procedures in addition to these Terms.

    11. Paddle and Merchant-of-Record Transactions

    Where APNCloud enables Paddle for an eligible product or transaction, Paddle may act as the Merchant of Record and authorized online reseller for the relevant Order rather than merely acting as a payment gateway. In that situation, the buyer may contract with the applicable Paddle entity for the purchase transaction while APNCloud remains responsible for supplying or making available the APNCloud product or service in accordance with the applicable supplier relationship and product terms.

    For Paddle-processed transactions, Paddle may handle payment collection, transaction taxes, invoicing or receipts, fraud controls, subscription billing functions, and certain order-related customer-service or return functions according to Paddle’s applicable buyer terms and policies. APNCloud may receive transaction and buyer information from Paddle as needed for fulfillment, support, fraud prevention, and legitimate business administration.

    A Paddle checkout may display additional terms or notices that apply to the transaction. If a Paddle term conflicts with these Terms solely regarding Paddle’s role as Merchant of Record, payment collection, transaction tax, or Paddle’s buyer relationship, the applicable Paddle buyer terms control that payment relationship. These Terms continue to govern APNCloud’s provision and acceptable use of the underlying Service to the extent applicable.

    Paddle is not necessarily available for every APNCloud product. APNCloud may enable, disable, or limit Paddle based on eligibility, provider policy, product classification, country, currency, or risk requirements. Nothing in these Terms represents that APNCloud is “approved”, “certified”, or officially endorsed by Paddle beyond any actual account or reseller relationship in force at the relevant time. If Paddle’s current onboarding or checkout requirements require a specific buyer-facing disclosure, APNCloud will display that disclosure before enabling Paddle transactions.

    12. PayPal, Cards, Skrill, Wise and Other Payment Providers

    Where PayPal is offered, Customers may be redirected to or interact with PayPal to authorize payment. PayPal may conduct its own risk review, hold, reversal, currency conversion, buyer-protection, seller-protection, or dispute process. APNCloud will provide customer-service information and maintain published refund and privacy policies as applicable. A PayPal payment is for goods or services and must not be intentionally misclassified as a personal or friends-and-family payment.

    Card transactions may be processed by a payment gateway or acquiring partner. APNCloud does not require Customers to send full card numbers by ordinary email or support ticket. Card details should be entered only into an authorized secure checkout or payment interface. The processor may request additional authentication such as 3-D Secure and may decline or review transactions independently.

    Where Skrill is offered, the transaction may also be governed by Skrill or Paysafe terms applicable to the Customer or merchant relationship. Where Wise is offered, the particular Wise feature may involve bank transfer, account details, or another supported business-payment method; availability varies and must not be assumed from the existence of a Wise account alone. Other gateways may be introduced or removed. Customers should use only payment methods displayed or expressly authorized by APNCloud.

    13. Recurring Billing and Automatic Renewal

    Most hosting and server Services are recurring unless clearly described as one-time. A recurring Service renews for the selected billing cycle until cancelled or terminated. Renewal invoices may be generated before the due date. Where a stored payment method or billing agreement permits automatic charging, APNCloud or the applicable payment provider may attempt to collect the renewal amount automatically.

    Customers are responsible for monitoring renewal dates, invoices, payment-method expiry, and account email. A failed automatic payment does not automatically cancel the Service or remove the amount due. APNCloud may retry collection where supported by the payment provider and may send reminders. Any retry schedule is operational and may change.

    To avoid renewal, the Customer must submit a cancellation request using an approved method before the relevant renewal or due date, subject to any Service-specific notice period. Simply removing a card, cancelling a wallet billing agreement, or allowing a payment to fail does not necessarily constitute a cancellation request. Domain names, licences, and certain third-party products may have separate renewal rules, grace periods, or non-refundable supplier charges.

    14. Invoices, Due Dates, Late Payment and Taxes

    Invoices are normally made available through the Client Area and may also be sent by email. The Customer must pay invoices by the stated due date. APNCloud may suspend or restrict a Service after non-payment in accordance with the Billing and Renewal Policy. Reconnection, restoration, data recovery, licence reactivation, domain redemption, or late fees may apply where clearly disclosed and legally permitted.

    The Customer is responsible for taxes, duties, levies, or similar charges legally applicable to the purchase, except taxes imposed on APNCloud’s own net income. Depending on the transaction, taxes may be calculated by APNCloud, a Merchant of Record, a payment provider, a registrar, or another supplier. Tax treatment may depend on billing address, service location, business status, tax registration details, or other legally relevant information.

    If a Customer claims tax exemption or reverse-charge treatment, valid documentation may be required. APNCloud may correct tax treatment if supplied information is inaccurate. Customers are responsible for any tax reporting or withholding obligations imposed directly on them by law, subject to any mandatory rules governing the transaction.

    15. Refund Policy and 14-Day Initial Purchase Period

    APNCloud wants Customers to be satisfied with eligible Services. Unless a more specific rule is displayed for a particular Service, an eligible first-time purchase may qualify for a refund request if the request is submitted within fourteen (14) days of the initial purchase date. Refund requests are reviewed under the Refund Policy, these Terms, applicable law, and any non-recoverable third-party costs associated with the Service.

    After the applicable 14-day initial refund period, payments are generally final and non-refundable unless required by law or expressly stated otherwise. Renewal payments made after the first billing cycle are non-refundable under APNCloud’s standard policy unless mandatory law requires a different result. A cancellation stops future renewal where processed in time but does not automatically creates a refund for past or already-started billing periods.

    Domain registrations, renewals, transfers, redemption fees, SSL certificates, software licenses, control-panel licenses, dedicated IP fees, setup work, custom work, third-party products, and other items that create immediate non-recoverable supplier costs may be excluded from the standard money-back guarantee or may be refundable only to the extent APNCloud can recover the cost. Any such exclusion should be read together with the current Refund Policy and the product page.

    Approved refunds are normally returned to the original payment method where technically possible and appropriate. Processing times depend on the payment provider and banking system. APNCloud may require reasonable verification before issuing a refund to reduce fraud. Nothing in this section removes statutory refund, cancellation, or consumer rights that cannot lawfully be excluded.

    16. Consumer Cancellation Rights

    Customers purchasing as consumers may have statutory cancellation or withdrawal rights depending on their country and the nature of the Service. These Terms do not replace mandatory consumer law. Where the law provides a 14-day cancellation period for a distance contract, the Customer may have rights in addition to APNCloud’s commercial refund policy.

    Many APNCloud Services are activated or begin performance shortly after payment. Where legally required, APNCloud may ask the Customer to request or consent to performance beginning during a statutory cancellation period. If a consumer validly requests early performance and later exercises a statutory cancellation right, the law may permit a proportionate charge for Services already supplied. Different rules can apply to digital content, domains, customized services, or services fully performed with the consumer’s agreement.

    Because consumer rights vary by location, this section is a savings clause rather than a complete statement of every local right. If mandatory law gives the Customer a more favorable right than these Terms, the mandatory rule applies. Business Customers purchasing in the course of trade or profession may not have the same consumer cancellation rights.

    17. Chargebacks, Payment Disputes and Reversals

    A chargeback or payment dispute should be used only for a genuine payment or service dispute, not as a substitute for contacting APNCloud where a normal support or refund process can reasonably resolve the issue. Customers should contact support promptly if they do not recognize a charge, believe an amount is wrong, or believe a refund is due.

    If a Customer initiates a chargeback, bank reversal, wallet dispute, or other payment reversal, APNCloud may provide relevant transaction records, service logs, Order details, account activity, communications, and proof of digital delivery or service activation to the payment provider, bank, card network, or Merchant of Record as reasonably necessary to respond to the dispute and as permitted by law.

    A Service may be suspended while a payment is disputed if the underlying payment has been removed or frozen and the Service is no longer paid. APNCloud will not retaliate against a Customer for exercising a lawful dispute right, but we may protect against duplicate recovery, fraud, or continued use of an unpaid Service. Fees imposed on APNCloud by a provider for an abusive or bad-faith dispute may be recoverable where permitted by law and clearly applicable.

    18. Shared Hosting Terms

    Shared Hosting places multiple Customers on shared infrastructure. The Customer does not receive exclusive use of the underlying physical server. Plans may include specific or practical limits for storage, bandwidth, databases, email, files, processes, CPU, memory, disk I/O, inodes, or other resources even if every limit is not displayed as a separate marketing line.

    Shared Hosting is intended for ordinary websites, web applications, databases, and related email use consistent with the purchased plan. It must not be used in a way that materially degrades the server or network for other users. Examples of unsuitable use may include sustained resource saturation, mass file distribution, abusive bulk email, unauthorized proxy services, malware distribution, or using a web-hosting account primarily as a general backup repository when the plan is not intended for that purpose.

    If usage consistently exceeds the reasonable capacity of the plan, APNCloud may contact the Customer to optimize, reduce usage, upgrade, or move to a more appropriate Service. In an urgent security or stability event, APNCloud may temporarily restrict processes or access to protect the server. Any such action will be proportionate to the risk and does not remove rights available under the SLA or applicable law.

    19. Reseller Hosting Terms

    Reseller Hosting allows a Customer to create and manage hosting accounts for the Customer’s own clients, projects, or brands within the limits of the purchased plan. The Reseller is responsible for its own customer relationships, billing, first-line support, customer promises, content, and commercial terms unless APNCloud expressly agrees otherwise. APNCloud is not automatically a party to contracts between a Reseller and the Reseller’s end users.

    The Reseller must ensure that its end users comply with applicable law, the APNCloud Acceptable Use Policy, anti-spam rules, intellectual-property requirements, and security obligations. The Reseller must not knowingly permit phishing, malware, fraud, abusive email, illegal content, attacks, or other prohibited activity. APNCloud may act against an individual sub-account or, if necessary, the whole reseller account when serious or repeated abuse occurs.

    Private nameservers, white-label functionality, account allowances, storage, bandwidth, backups, migration, and control-panel access are limited to the applicable plan. “Unmetered Bandwidth” does not mean infinite physical capacity. It means APNCloud does not apply a fixed monthly transfer quota solely for normal eligible use, while Fair Usage, server capacity, acceptable use, and reasonable technical limits remain applicable.

    A Reseller must not misrepresent itself as APNCloud unless expressly authorized. The Reseller is responsible for maintaining its own legally required customer terms, privacy notices, refund policy, and support arrangements. APNCloud may communicate directly with an end user when reasonably necessary to address abuse, legal compliance, security, or infrastructure protection.

    20. Cloud VPS Hosting - Unmanaged Services

    Unless a plan is specifically sold as Managed Cloud VPS, Cloud VPS Hosting is provided on an unmanaged basis. APNCloud is responsible for the underlying virtualization platform, allocated infrastructure, and network within the scope of the Service, while the Customer is responsible for administration inside the virtual server.

    The Customer is responsible for operating-system configuration, root or administrator credentials, software installation, application configuration, firewalls, user accounts, patches, malware prevention, application backups, database administration, licence compliance, and the security of software under the Customer’s control. APNCloud infrastructure support does not mean that APNCloud has assumed responsibility for every package, script, website, panel, database, application, or configuration installed by the Customer.

    Customers with root access must secure the VPS and must not run prohibited services or permit compromised software to harm others. If a VPS is compromised, APNCloud may isolate or suspend it where reasonably necessary to protect the network. Reinstallation, console access, reverse DNS, IP changes, or similar functions may be offered according to the plan and technical platform.

    21. Managed Cloud VPS Terms

    A Service is “Managed” only when the product description expressly identifies it as managed and lists the included management scope. Depending on the plan, management may include initial setup, supported operating-system configuration, security hardening, monitoring, routine updates, control-panel assistance, or reasonable troubleshooting. The exact included tasks are those stated for the purchased plan.

    Managed hosting does not automatically include custom software development, website design, application debugging, third-party vendor support, code repair, business-process administration, unsupported software, unlimited migration work, or restoration of data that does not exist in available backups. APNCloud may provide such work separately where available.

    The Customer remains responsible for application content, legal compliance, account passwords, user permissions, licences, business data, and decisions about software installed on the server. APNCloud may recommend changes needed for security or stability. If the Customer refuses a critical recommendation or installs software that materially conflicts with the managed environment, the scope of management or SLA remedies may be affected to the extent directly caused by that action.

    22. Dedicated Server Terms

    Dedicated Servers provide physical server resources allocated to the Customer according to the accepted Order. Processor, memory, storage, network port, traffic allocation, IP addresses, remote management, location, operating system, and management level depend on the specific configuration. A Dedicated Server does not necessarily include every feature shown on a general marketing page unless that feature appears in the chosen plan or Order.

    Provisioning may require hardware preparation, data-centre work, IP assignment, installation, or security review. Hardware faults will be handled according to the Service description and SLA. A hardware replacement may require downtime, and equivalent replacement components may be used where the exact model is unavailable, provided the replacement is reasonably comparable or better.

    Unless the Dedicated Server is sold with management, the Customer is responsible for operating-system administration, security, software, backups, and applications. Remote access credentials and out-of-band management access, where provided, must be protected. Customers must not intentionally interfere with data-centre networks, routing, monitoring, or other infrastructure.

    Dedicated Server setup, custom hardware, licences, IP charges, and third-party costs may have separate refund treatment because they can create immediate supplier costs. The current product description and Refund Policy apply.

    23. IP Addresses and Network Resources

    IP addresses supplied with a Service are provided for use with that Service and are not sold to the Customer. Allocation depends on availability, technical need, provider policy, routing, and applicable internet-number-resource rules. APNCloud may require justification for additional addresses where appropriate.

    An assigned IP may be changed for network migration, routing, abuse prevention, provider changes, security, infrastructure consolidation, or other legitimate technical reasons. Where reasonably practicable, APNCloud will provide notice of a planned change. Emergency changes may occur without advance notice if necessary to protect the network.

    Customers must not use APNCloud IP space for spam, phishing, malware, botnets, unauthorized scanning, attacks, fraud, open abusive proxies, or other prohibited activity. If an IP becomes listed by a reputation or blocklist service because of Customer activity, the Customer must cooperate with remediation. APNCloud does not guarantee that every third-party reputation service will immediately remove a corrected listing.

    24. Domain Registration, Transfer and Renewal

    Domain registration and transfer Services are subject to the rules of the relevant registry, registrar, ICANN where applicable, and other governing authority. Payment does not guarantee successful registration because a domain can become unavailable, fail validation, be reserved, require additional information, or be rejected by a registry or registrar. A domain is successfully registered only when the relevant provider confirms registration.

    The Customer must provide accurate registration information and maintain it where required. The Customer is responsible for ensuring that the domain does not infringe another party’s rights and that renewal is completed before expiry. APNCloud may send renewal reminders, but the Customer should independently monitor expiry dates.

    Expired domains may stop resolving, enter a grace period, incur redemption or restoration fees, be deleted, or eventually become available to another registrant. Recovery after expiration is not guaranteed. Registry or registrar rules may change without APNCloud’s control.

    Domain registration, renewal, transfer, restoration, premium-domain, registry, and redemption charges can be non-refundable once processed because they are paid to third parties. Any free-domain promotion may be subject to separate eligibility and refund adjustments disclosed in the product or Refund Policy.

    25. SSL Certificates, Licences and Third-Party Products

    SSL certificates, control-panel licences, security licences, software licences, email products, backup products, and other third-party digital goods may be subject to additional provider terms. By ordering such a product, the Customer agrees to comply with applicable licence and usage rules.

    Third-Party Providers may change prices, licensing models, supported versions, product names, eligibility, technical requirements, or availability. APNCloud may pass through necessary changes to future billing or may replace a discontinued product with a reasonably suitable alternative where appropriate. APNCloud will not falsely represent ownership of third-party software.

    Once a certificate, licence, domain, or other immediately issued third-party item has been activated, the supplier cost may be non-recoverable. Refund eligibility therefore may differ from ordinary hosting Services. The product page, current Refund Policy, and mandatory law determine the applicable treatment.

    26. Email Services and Anti-Spam Obligations

    Email Services must be used responsibly and lawfully. Customers must not send unsolicited bulk email, phishing messages, malware, fraudulent content, or messages that violate applicable anti-spam law. Mailing lists must be permission-based where required and should include appropriate unsubscribe mechanisms.

    APNCloud may apply sending limits, reputation controls, abuse monitoring, or temporary restrictions to protect mail deliverability and shared infrastructure. Email delivery depends on many external factors, including recipient servers, DNS, sender reputation, content filtering, blocklists, and authentication settings. APNCloud does not guarantee delivery to every recipient.

    Customers are responsible for securing email passwords and mail applications. Compromised accounts may be suspended or password-reset to stop abuse. Where a Customer uses a third-party mail platform supplied through APNCloud, additional provider terms and limits may apply.

    27. Backups and Data Protection by the Customer

    Where a plan states that backups are included, APNCloud will operate backup processes according to the plan’s stated or configured schedule. Backup frequency, retention, coverage, restore options, and storage location may vary by Service. “Daily Backups” means backup jobs are scheduled on a daily basis under the relevant system; it does not guarantee that every individual file will always be recoverable in every circumstance.

    Backups are an additional safeguard and should not be the Customer’s only copy of critical data unless APNCloud expressly sells a service with that specific guarantee. Customers should maintain independent backups of important websites, databases, source code, business records, encryption keys, and configuration data.

    A restore request may be subject to the availability and integrity of a backup. Data may be unrecoverable because of corruption, deletion before the retention point, application inconsistency, unsupported data, encryption, or other technical causes. APNCloud’s liability for backup failure is subject to the liability provisions of these Terms and any specific backup SLA.

    28. Migration Services

    APNCloud may provide free or paid migration assistance. Migration feasibility depends on the source provider, control panel, credentials, data size, application type, database format, DNS, email structure, software versions, and other technical factors. A migration estimate is not a guarantee that every component can be transferred without change.

    The Customer must provide authorized access and is responsible for having the right to copy the data. The Customer should keep the source service active until the migration has been verified. APNCloud may not be able to migrate unsupported proprietary configurations, encrypted data without keys, corrupted databases, closed-provider features, or custom applications.

    After migration, the Customer should test websites, forms, email, databases, scheduled tasks, DNS, and applications before terminating the previous service. APNCloud will use reasonable care, but the Customer remains responsible for final acceptance and independent backups.

    29. Acceptable Use and Fair Usage

    All Services are subject to the APNCloud Acceptable Use Policy (“AUP”), which is incorporated into these Terms. The AUP is intended to protect Customers, networks, third parties, payment providers, and APNCloud from illegal, abusive, insecure, or materially disruptive use. Customers are also responsible for the activities of users to whom they give access.

    Prohibited uses may include phishing, malware, botnets, credential theft, unauthorized access, deliberate attacks, spam, fraudulent schemes, illegal content, intellectual-property infringement, or use that violates sanctions or other applicable law. The AUP may also restrict activities that create disproportionate technical risk or consume resources in a manner inconsistent with the purchased plan.

    Fair Usage applies to resources described as unmetered or unlimited. Such wording does not create infinite hardware, bandwidth, CPU, storage, or network capacity. Normal legitimate hosting use is permitted, but APNCloud may contact a Customer whose sustained usage materially harms service quality or is inconsistent with the product’s purpose. Where possible, we will seek optimization or an upgrade before taking restrictive action, except in urgent abuse or security situations.

    30. Security, Malware and Compromised Services

    APNCloud and the Customer each have security responsibilities. APNCloud is responsible for reasonable security measures for infrastructure under its direct control. The Customer is responsible for websites, code, applications, passwords, plugins, themes, databases, user accounts, and server administration under the Customer’s control, subject to any expressly included Managed Service.

    Customers should keep software updated, remove abandoned applications, use secure passwords, protect administrative interfaces, and promptly address known vulnerabilities. If APNCloud detects a compromised website, account, VPS, or server that presents a credible risk, we may isolate, suspend, disable a process, reset credentials, or take other proportionate action necessary to protect systems and third parties.

    APNCloud may notify the Customer and request remediation. In urgent cases, action may occur before notice. Security assistance may be limited for unmanaged Services. APNCloud does not guarantee that any security system can prevent every attack, exploit, vulnerability, or compromise.

    31. Technical Support

    APNCloud provides support according to the purchased Service. Support may be available through tickets, email, the Client Area, or other official channels published by APNCloud. Support response targets, where stated, are targets rather than guaranteed resolution times unless expressly included in an SLA.

    Shared Hosting and Reseller Hosting support generally covers the hosting platform and account-level issues within reasonable scope. Unmanaged VPS and Dedicated Server support generally covers the underlying infrastructure and functions specifically included with the Service, not arbitrary application administration. Managed Services include only the management tasks described in the plan.

    Custom development, website design, code debugging, unsupported third-party applications, extensive data recovery, specialist consulting, or out-of-scope administration may require a separate fee or may be declined. Customers must communicate respectfully and provide sufficient information for troubleshooting. Abuse of support staff, repeated false reports, or deliberate interference with troubleshooting may result in reasonable restrictions on support channels.

    32. Maintenance, Service Availability and SLA

    APNCloud may perform scheduled or emergency maintenance to maintain security, performance, reliability, or compatibility. Scheduled maintenance may be announced where reasonably practicable. Emergency maintenance may occur without prior notice when delay would create unacceptable risk.

    Any uptime commitment is governed by the current Service Level Agreement (“SLA”) for the applicable Service. A marketing statement such as “99.9% uptime” should be read together with the SLA’s measurement method, exclusions, claim process, and remedy. Events outside the defined measurement scope, Customer-caused outages, scheduled maintenance, DDoS events beyond reasonable mitigation, upstream failures outside APNCloud’s control, or other listed exclusions may not count toward an SLA calculation.

    Service credits, where offered, are normally the exclusive contractual remedy for an SLA shortfall unless mandatory law provides otherwise. An SLA does not guarantee uninterrupted internet connectivity, error-free software, or immunity from every external network event.

    33. Suspension and Restriction of Services

    APNCloud may suspend or restrict a Service for non-payment, serious or repeated AUP violations, fraud, unauthorized payment, security compromise, legal requirement, material threat to infrastructure, or failure to complete required verification. We will act proportionately and, where reasonably possible, provide notice and an opportunity to correct the issue.

    Immediate action may be necessary for active phishing, malware, attacks, large-scale spam, compromised credentials, serious network harm, legal orders, or other urgent risk. Suspension may affect websites, email, VPS access, control panels, or other functions. A suspension does not necessarily cancel outstanding invoices or stop a recurring contract.

    Where the issue can be cured, APNCloud may restore the Service after payment, remediation, verification, or other reasonable conditions are satisfied. Restoration may be impossible if data has already been deleted after a termination or retention period.

    34. Cancellation and Termination

    Customers may request cancellation through the Client Area or another method expressly accepted by APNCloud. A cancellation request should identify the Service and whether cancellation is immediate or at the end of the current billing period, where that choice is offered. Cancellation does not automatically create a refund.

    APNCloud may terminate a Service for material breach, repeated serious abuse, fraud, unlawful use, non-payment after applicable notice, or where continuing to provide the Service is legally or technically impossible. Where the problem is reasonably curable, we may provide an opportunity to cure before termination unless urgent action is necessary.

    After termination, data may be deleted according to APNCloud retention practices and technical processes. Customers are responsible for obtaining required backups before cancellation or termination where reasonably possible. Domain names and third-party products may have separate transfer or expiry procedures and are not automatically transferred merely because hosting is cancelled.

    35. Customer Content and Intellectual Property

    As between APNCloud and the Customer, the Customer retains rights in Customer Content. APNCloud does not claim ownership merely because content is hosted on its infrastructure. The Customer grants APNCloud the limited rights necessary to store, transmit, back up, process, and technically handle Customer Content to provide the Service.

    The Customer confirms that it has the rights and permissions necessary to use, host, distribute, or process Customer Content. The Customer must not knowingly use APNCloud Services to infringe copyright, trademarks, privacy, confidentiality, or other rights.

    APNCloud’s own trademarks, logos, website content, software, documentation, designs, and branding remain the property of APNCloud or the relevant licensors. A Customer may not imply sponsorship, partnership, certification, or authorization that does not exist. Resellers may use white-label features only within the scope of the purchased Service and may not misrepresent ownership of APNCloud infrastructure or third-party intellectual property.

    36. Abuse Complaints and Legal Requests

    APNCloud may receive complaints concerning spam, phishing, malware, copyright, fraud, attacks, privacy, or other misuse. We may review available evidence, contact the Customer, request remediation, preserve relevant logs, or restrict a Service where reasonably necessary. Not every complaint is automatically accepted as valid, and APNCloud may ask the complainant for additional information.

    Customers must cooperate with legitimate abuse investigations. Where a complaint can be resolved by removing specific content or securing a compromised account, APNCloud may prefer targeted remediation over full suspension. Repeated failure to respond, continued abuse, or an urgent risk may justify stronger action.

    APNCloud may disclose information where required by a valid legal process or where otherwise permitted by law for fraud prevention, security, protection of rights, or emergency circumstances. Requests from authorities will be handled according to applicable law and the Privacy Policy.

    37. Privacy and Data Processing

    APNCloud processes personal information as described in the Privacy Policy. Personal data may include account information, billing details, support communications, IP addresses, service logs, fraud-prevention information, and information necessary to provide or secure Services.

    Third-Party Providers may process data where necessary for payment processing, domain registration, infrastructure, support, email delivery, analytics, security, or other legitimate functions. Where Paddle acts as Merchant of Record, it may process buyer information under its own privacy notice and may share information with APNCloud for fulfillment, support, fraud prevention, and related legitimate purposes.

    Customers using APNCloud Services to process personal data are responsible for their own compliance with applicable privacy law, including providing notices and having a lawful basis where required. APNCloud does not become the Customer’s legal adviser or data-protection officer merely by providing hosting.

    38. Confidentiality

    Each party may receive non-public information from the other in connection with the Service. Each party should use reasonable care to protect information that is clearly confidential or would reasonably be understood as confidential. Confidential information does not include information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

    APNCloud may use Customer information as necessary to provide support, investigate abuse, prevent fraud, collect payment, maintain security, and comply with legal obligations. Customers must not disclose APNCloud credentials, private security information, or confidential technical information in a way that creates risk to APNCloud or other Customers.

    Where a legal requirement compels disclosure of confidential information, the receiving party may disclose the required information and, where legally permitted, may notify the other party.

    39. Disclaimers and No Absolute Security Guarantee

    APNCloud will provide Services with reasonable care and skill where required by law. However, internet and hosting Services depend on hardware, software, networks, external providers, DNS, registries, power, routing, and other systems that can fail or be attacked. Except for express commitments in these Terms, a product description, or the SLA, Services are provided subject to the limitations inherent in online infrastructure.

    APNCloud does not guarantee that every website, email, application, domain, server, or network will be uninterrupted, error-free, immune from attack, compatible with every third-party system, or suitable for every business purpose. Customers are responsible for testing whether a Service meets their requirements before relying on it for a critical use.

    Nothing in this section excludes warranties or obligations that cannot lawfully be excluded. Any disclaimer is interpreted only to the maximum extent permitted by applicable law.

    40. Limitation of Liability

    Nothing in these Terms limits liability for death or personal injury caused by negligence where it cannot be limited, fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit to be excluded or limited.

    Subject to the preceding paragraph, APNCloud will not be liable for indirect, incidental, special, punitive, or consequential losses, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings, or data, to the extent such losses may lawfully be excluded and were not a direct and reasonably foreseeable result of APNCloud’s breach.

    For business Customers, and to the extent permitted by law, APNCloud’s aggregate contractual liability arising from a particular Service during any rolling twelve-month period will not exceed the fees actually paid to APNCloud for that affected Service during the twelve months preceding the event giving rise to the claim. If the Service has existed for less than twelve months, the cap is the fees paid for that Service during the period of use.

    This limitation does not reduce any Service credit specifically promised under the SLA and does not override mandatory consumer remedies. The parties acknowledge that the pricing of hosting Services reflects this allocation of risk.

    41. Indemnity for Business Customers

    To the extent permitted by law, a business Customer will indemnify APNCloud against third-party claims, losses, and reasonable costs arising directly from the Customer’s unlawful content, infringement of third-party rights, material violation of the AUP, fraudulent conduct, or misuse of the Service, except to the extent caused by APNCloud’s own breach, negligence, or unlawful conduct.

    APNCloud will provide reasonable notice of a claim where practicable and will not seek recovery for amounts that are duplicative or unreasonable. The Customer may participate in the defence of a covered claim where appropriate, but must not settle a claim in a way that imposes an admission or obligation on APNCloud without consent.

    This section is intended primarily for business Customers and will not apply to a consumer to the extent prohibited or unfair under mandatory consumer law.

    42. Force Majeure and Events Beyond Reasonable Control

    Neither party is responsible for delay or failure caused by events beyond its reasonable control to the extent the event prevents performance. Such events may include major natural disasters, war, civil disorder, widespread network failures, upstream carrier failures, data-centre emergencies, government action, widespread power failure, labour disruption, severe cyberattacks, or failure of a critical supplier despite reasonable mitigation.

    The affected party should use reasonable efforts to reduce the impact and resume performance. Payment obligations for Services already supplied are not automatically cancelled solely because a force-majeure event occurs. If an event continues for an extended period and materially prevents a Service from being provided, the parties may have cancellation or other rights under applicable law or the specific Service terms.

    This clause does not excuse a party from obligations that could reasonably have been performed despite the event.

    43. Changes to These Terms

    APNCloud may update these Terms to reflect changes in law, Services, payment methods, security practices, supplier requirements, or business operations. The current version will be published on the APNCloud website with an updated effective date.

    For material changes that significantly reduce existing Customer rights or increase material obligations during a current paid term, APNCloud will provide reasonable notice where required by law or reasonably practicable. Changes may take effect immediately where necessary to comply with law, prevent abuse, address urgent security risk, or reflect a mandatory provider rule.

    If a Customer continues to use or renew a Service after revised Terms take effect, the revised Terms apply to the extent legally valid. A Customer who does not accept a material change may cancel future renewal, subject to existing payment obligations and any mandatory rights.

    44. Complaints and Dispute Resolution

    Customers should first contact APNCloud Support with any complaint about billing, service quality, abuse handling, or another issue. The complaint should include the relevant account, invoice, Service, dates, and a clear description of the requested resolution. APNCloud will make reasonable efforts to investigate and respond.

    Before starting formal proceedings, business Customers are encouraged to attempt good-faith resolution through written communication. This does not prevent either party from seeking urgent injunctive or protective relief where necessary.

    Payment-provider disputes, card chargebacks, PayPal cases, Paddle buyer processes, or bank reversals may be subject to separate provider procedures. Those procedures do not necessarily determine every contractual issue between APNCloud and the Customer, although the outcome may affect whether a payment remains settled.

    45. Governing Law and Jurisdiction

    These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, except where mandatory consumer law in the Customer’s country requires a different protection to apply.

    For business Customers, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with these Terms, unless APNCloud and the Customer agree otherwise in writing. For consumers, this clause does not remove any right to bring proceedings in another court where mandatory consumer law gives that right.

    The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Services to the extent it could otherwise be argued to apply.

    46. Notices and Electronic Communications

    APNCloud may send notices by email to the primary Account address, through the Client Area, on an invoice, or through a prominent website notice where appropriate. Customers are responsible for keeping contact information current and monitoring important service communications.

    A notice is generally treated as received when delivered electronically without a known delivery failure, subject to any mandatory legal rule requiring a different method. Legal notices to APNCloud should be sent using the contact details published on the APNCloud website or to the registered office where formal service is required by law.

    The Customer agrees that contracts, invoices, policies, renewal notices, and routine account communications may be provided electronically unless applicable law requires paper delivery.

    47. Assignment, Subcontracting and Corporate Changes

    APNCloud may use subcontractors and Third-Party Providers to deliver Services. APNCloud may assign or transfer these Terms as part of a merger, restructuring, sale of business, transfer of assets, or similar corporate transaction, provided that the transfer does not unlawfully reduce Customer rights.

    A Customer may not assign an Account or Service to another person without APNCloud’s consent where the transfer would affect billing, security, verification, domain ownership, licensing, or legal responsibility. APNCloud may require account-ownership verification before approving a transfer.

    Nothing in this section creates a partnership, employment, fiduciary, or agency relationship between APNCloud and the Customer. A Reseller is an independent business and is not APNCloud’s agent unless a separate written agreement expressly states otherwise.

    48. Severability, Waiver and Entire Agreement

    If a court or competent authority finds a provision of these Terms invalid or unenforceable, the remaining provisions remain effective. The invalid provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where legally possible.

    If APNCloud does not immediately enforce a right, that does not permanently waive the right. A waiver must be clear and applies only to the specific circumstance for which it is given.

    These Terms, the accepted Order, applicable product-specific terms, and incorporated APNCloud policies form the entire agreement for the relevant Service and replace prior discussions or representations about that Service, except for fraud or any statement that cannot legally be excluded. A written custom agreement or enterprise Order signed by APNCloud may override these Terms to the extent it expressly says so.

    49. Priority of Documents

    If documents conflict, the following order of priority generally applies: first, a signed custom or enterprise agreement expressly stated to override these Terms; second, the specific accepted Order or quotation; third, Service-specific terms; fourth, these Terms of Service; and fifth, general marketing material. Incorporated policies apply to their subject areas, such as the Refund Policy for refund eligibility and the SLA for uptime remedies.

    For a transaction processed by a Merchant of Record, the Merchant of Record’s buyer terms may separately govern the purchase transaction, tax handling, payment collection, and its relationship with the buyer. APNCloud’s Terms continue to govern APNCloud’s supply, acceptable use, technical operation, and customer obligations for the Service unless the Merchant-of-Record structure requires otherwise.

    No support conversation or informal statement changes these Terms unless an authorized APNCloud representative clearly agrees to a contractual change in writing.

    Customers should use the Client Area or official support email for account-specific requests so that identity and Service ownership can be verified where necessary.

    51. Service Upgrades, Downgrades and Configuration Changes

    Customers may request eligible upgrades or downgrades through the Client Area or APNCloud Support. An upgrade may take effect immediately, on the next billing date, or after manual provisioning, depending on the Service. Additional charges may be prorated or invoiced according to the billing system. A downgrade may be delayed until the next billing period or may require the Customer to reduce resource usage before the lower plan can be applied.

    Configuration changes can require a restart, migration, reinstallation, IP change, storage resize, DNS change, or temporary interruption. APNCloud will use reasonable care when making an approved change, but the Customer should maintain a current backup before any change that can affect data or software configuration. Some changes cannot be reversed once completed.

    If a Customer requests a downgrade to a plan that cannot accommodate existing data, accounts, databases, storage, or other usage, APNCloud may decline the downgrade until usage is reduced. APNCloud is not responsible for loss caused by the Customer intentionally deleting data or reducing resources to meet a requested downgrade, except to the extent APNCloud causes separate loss through its own breach.

    Changing the billing cycle is not the same as cancelling a Service. Any credit, adjustment, or refund resulting from a change is subject to the Billing and Renewal Policy and the technical capabilities of the billing platform.

    52. Data Retention After Suspension or Termination

    APNCloud is not a permanent archive service unless a product is expressly sold as such. After suspension, cancellation, expiry, or termination, Customer data may remain temporarily available for restoration, may be retained in backups for a limited period, or may be deleted automatically according to system settings and operational retention schedules.

    The length of any temporary retention period can vary by Service and is not guaranteed unless a specific retention commitment is stated in the product description. Customers should assume that data may become unavailable after termination and should obtain any required backups before the Service ends. APNCloud is not required to maintain an unpaid Service indefinitely.

    Where APNCloud is legally required to preserve certain records, transaction information, security logs, abuse evidence, or account records, those records may be retained separately from Customer hosting data for the required period. Deleting a hosting account does not necessarily require immediate deletion of every legally retained billing, fraud, or compliance record.

    A request to restore data after termination may be impossible or may require a paid restoration service if data remains available. APNCloud does not guarantee recovery once a Service has been cancelled, terminated, or deleted.

    53. Export Controls, Sanctions and Restricted Use

    Customers must use APNCloud Services in compliance with applicable export-control, sanctions, trade-control, and other laws that legally apply to the Customer, APNCloud, or the transaction. A Customer must not knowingly use the Service to facilitate a transaction or activity that APNCloud is legally prohibited from supporting.

    APNCloud may screen transactions, account information, payment information, domain information, IP information, or intended use where reasonably necessary to comply with applicable law or a payment provider’s lawful compliance requirements. A screening result may lead to a request for clarification, temporary hold, rejection of an Order, or termination where continuing the Service would be unlawful.

    This section does not require Customers to surrender rights they have under applicable law and does not authorize discriminatory treatment unrelated to lawful compliance. APNCloud may rely on professional advisers, payment providers, or specialist compliance tools when reasonably necessary to assess a legal restriction.

    If funds cannot lawfully be returned through the original payment channel because of a legal restriction, APNCloud will handle the funds in the manner required or permitted by applicable law and the relevant provider.

    54. Fraud Prevention and Transaction Monitoring

    APNCloud may use reasonable automated and manual fraud-prevention measures to protect Customers, payment providers, and infrastructure. These measures may consider transaction velocity, device and network information, billing consistency, account history, payment-provider risk signals, unusual product selection, repeated failed payments, prior abuse, or other relevant indicators.

    A fraud check may delay activation even when a payment appears successful. APNCloud may ask the Customer to confirm information or may cancel a transaction that presents an unacceptable risk. A successful fraud check is not a guarantee that a transaction is genuine, and a failed check does not necessarily mean the Customer has committed fraud.

    Customers must not test stolen payment credentials, intentionally submit repeated unauthorized payments, use another person’s account without permission, or attempt to evade payment-provider controls. Suspected payment abuse may be reported to the relevant payment provider or competent authority where legally permitted.

    APNCloud will seek to avoid retaining unnecessary payment-card data. Full card details should be handled by authorized payment interfaces and processors rather than ordinary support channels.

    55. Promotions, Coupons and Free Benefits

    Promotional prices, coupon codes, free migrations, free domains, account credits, trial periods, or bundled benefits may have additional conditions stated at the time of the offer. Unless expressly stated otherwise, a promotion is limited to the eligible transaction, cannot be exchanged for cash, cannot be combined with incompatible promotions, and may be withdrawn for future Orders.

    APNCloud may cancel or correct a promotion that is abused through duplicate accounts, automated ordering, false eligibility information, payment fraud, or an obvious pricing error. Legitimate Customers who have already completed a valid purchase will be treated reasonably in accordance with the offer terms and applicable law.

    A free third-party product may still have an underlying supplier cost. If a Customer receives a free domain, licence, SSL certificate, or other non-recoverable third-party benefit and then receives a refund for the associated Service, APNCloud may deduct the disclosed supplier cost where the Refund Policy allows and applicable law permits. The Customer may retain the third-party product only where the relevant transfer and provider rules permit.

    Promotional renewal pricing may differ from the initial promotional price. Any renewal price or discount duration should be disclosed through the product page, Order, invoice, or promotional terms.

    56. Service Credits, Account Credits and Promotional Balances

    APNCloud may issue Service credits, account credits, SLA credits, promotional balances, or goodwill credits. Unless expressly stated otherwise, these credits are not cash, are not interest-bearing, and may only be used toward eligible APNCloud Services. Credits may have an expiration date or other conditions that are disclosed when issued.

    An SLA credit is governed by the applicable SLA and is not automatically equivalent to a cash refund. A promotional credit may be cancelled if the transaction that generated it is refunded, reversed, fraudulent, or otherwise invalid. APNCloud may correct a credit posted by obvious system error.

    Account credits are generally applied to future invoices in the supported currency or billing system. Currency conversion may not be available. A Customer cannot normally withdraw account credit to a bank account or wallet unless APNCloud expressly agrees or applicable law requires.

    Nothing in this section prevents APNCloud from issuing a cash refund when the Refund Policy or applicable law requires a cash refund to the original payment method.

    57. Business Continuity and Customer Responsibility for Critical Systems

    Customers using APNCloud for a business-critical website, application, communication system, database, or infrastructure should design appropriate continuity measures for the level of risk involved. This may include independent backups, DNS planning, monitoring, failover, documented recovery procedures, and keeping current administrative credentials.

    Unless a Service expressly includes high availability, geographic redundancy, disaster recovery, or a specific recovery-time commitment, the Customer should not assume those features are included. A single VPS, hosting account, server, or backup location can be affected by hardware failure, software failure, attack, human error, or external network incidents.

    APNCloud may offer additional Services or configurations that improve resilience, but no hosting architecture eliminates all risk. The Customer is responsible for deciding whether the purchased plan is suitable for the consequences of downtime or data loss in its own business.

    This section does not reduce APNCloud’s obligations under the SLA or applicable law. It explains that reasonable customer-side continuity planning is part of using internet infrastructure responsibly, especially for systems where interruption could cause significant business impact.

    58. Website, Client Area and Electronic Records

    The APNCloud website and Client Area are part of the service-delivery environment. Customers must not attempt to bypass authentication, interfere with billing records, exploit vulnerabilities, scrape private account data, or use automated tools in a way that materially disrupts these systems. Security testing of APNCloud systems requires prior written authorization unless applicable law expressly provides otherwise.

    Electronic records generated through the Client Area, including Orders, invoices, payment records, support tickets, cancellation requests, service logs, and acceptance records, may be used to document the contractual relationship and transaction history. Customers should keep copies of important invoices, receipts, and communications needed for their own accounting or compliance obligations.

    Website availability may occasionally be interrupted for maintenance, security, network, or provider reasons. Temporary unavailability of the marketing website does not necessarily mean an active hosted Service is unavailable. Conversely, availability of the Client Area does not guarantee that every third-party service or network path is operating normally.

    APNCloud may update the design, navigation, checkout flow, authentication methods, or technical platform used by the website and Client Area. Such changes do not alter a Customer’s purchased Service unless the relevant Service terms, price, or functionality are also changed in accordance with these Terms.

    Customer Acceptance

    By ordering, paying for, renewing, or using an APNCloud Service, the Customer confirms that they have read, understood, and agreed to these Terms and the policies incorporated by reference, subject to any mandatory rights that cannot lawfully be excluded.
